Larq Ltd represents selected brands within the film and television production industry. Our services may include production outreach, opportunity assessment, product coordination, recommendations, logistics support and reporting.
The exact scope of work, fees, term and deliverables for any brand representation engagement will be set out in a separate proposal, confirmation, agreement or written communication between Larq Ltd and the relevant brand partner.
Unless agreed otherwise in writing, Larq works on a monthly representation retainer model.
Any proposal, onboarding confirmation or written agreement issued by Larq Ltd forms part of the applicable terms for that engagement.
Larq Ltd works proactively to identify and develop suitable screen opportunities for represented brands. However, all production activity is subject to production requirements, editorial control, scheduling, availability, scene context and final edit.
Larq Ltd does not guarantee screen time, dialogue, camera framing, broadcast inclusion, editorial outcome, audience figures or any specific commercial result unless expressly agreed in writing.
Products may be requested, supplied, filmed, edited, changed, removed or not used at any stage of production or post-production.
Where products are supplied to productions through Larq Ltd, they may be supplied as loan items, samples, gifted stock or purchased products depending on the arrangement confirmed in writing.
Unless otherwise agreed in writing, loan items remain the property of the relevant brand or Larq Ltd.
Productions receiving loan items must use reasonable care, keep items secure and return them by the agreed date in a similar condition, allowing for fair wear and tear.
Unreturned, lost, stolen or irreparably damaged items may be charged at retail or replacement cost, together with any applicable shipping, handling or administration costs.
Unless agreed otherwise in writing, production teams are responsible for courier, freight, customs, insurance, delivery and return costs relating to supplied products or loan items.
If Larq Ltd arranges transport, courier or freight services on behalf of a brand or production, those costs may be recharged with a reasonable administration fee where applicable.
Additional charges may apply where incorrect delivery details, missed collections, failed deliveries or urgent requirements create extra costs.
Products supplied through Larq Ltd must not be modified, defaced, distressed, damaged or used in unlawful, unsafe, misleading or sensitive contexts without prior written approval.
Any proposed use involving negative context, sensitive subject matter, heavy distressing, unusual handling, bespoke modification or potential reputational risk should be disclosed before supply so that approval, restrictions or conditions can be agreed.
Larq Ltd may decline or withdraw support for any proposed use that is not suitable for the brand, production, scene or agreed context.
Productions are responsible for their own programme clearances, legal compliance, health and safety obligations, broadcast requirements and any applicable product placement disclosure obligations.
This may include, where applicable, compliance with Ofcom, BCAP, broadcaster, platform, legal, editorial and production requirements.
Productions are also responsible for obtaining any permissions required for trademarks, packaging, artwork, labels, branding or other protected materials used within a programme.
Any brand restrictions communicated at approval stage must be followed.
Where reporting forms part of an agreed service, Larq Ltd may provide placement updates, HD stills, broadcast clips, calculated media value and related context where available and applicable.
Reporting is based on information available to Larq Ltd at the time and may be subject to editorial changes, broadcast availability, access to materials and third-party data limitations.
Unless agreed otherwise in writing, Larq Ltd does not guarantee audience figures, paid media metrics, advertising value equivalency or any specific commercial outcome.
Commercial terms, production schedules, non-public information, brand information, production requests, contacts, documents and service materials shared between Larq Ltd, brands and productions are confidential.
Confidential information must not be disclosed to third parties except where needed to perform the relevant engagement, where approved in writing, or where required by law.
This confidentiality obligation continues after the end of any engagement.
Fees, retainers, reporting arrangements, expenses and payment terms will be set out in the relevant proposal, confirmation, agreement or invoice.
Unless stated otherwise in writing, invoices are payable within 14 days of issue.
Fees are exclusive of VAT where applicable.
Late payment may result in services being paused, delayed or withdrawn until outstanding amounts are settled.
Approved pass-through costs, courier costs, freight, customs, insurance, re-delivery, handling or other agreed expenses may be recharged where applicable.
Work outside the agreed scope may be chargeable if approved in advance.
This may include additional production titles, urgent or expedited requests, substantial extra reporting, additional asset preparation, extended coordination, unusual logistics or work outside the agreed representation arrangement.
Termination rights and notice periods will be set out in the relevant proposal, agreement or written confirmation.
On termination or completion of an engagement, the parties will take reasonable steps to close out live activity, return loan items, transfer relevant status information and settle outstanding invoices, costs or charges.
Any rights, obligations or restrictions that are intended to continue after termination will remain in force, including confidentiality, payment obligations, intellectual property rights and liability provisions.

Nothing in these Terms limits or excludes liability for death or personal injury caused by negligence, fraud, fraudulent misrepresentation or any liability that cannot lawfully be limited or excluded.
Subject to the above, Larq Ltd shall not be liable for any indirect, consequential, special or punitive loss or damage, including but not limited to loss of profit, loss of revenue, loss of sales, loss of business opportunity, loss of goodwill, loss of reputation, loss of anticipated exposure, loss of media value, or loss arising from any delay, cancellation, editing decision, production decision, broadcaster decision, platform decision or other third-party action outside Larq Ltd’s reasonable control.
The client acknowledges that Larq Ltd provides brand representation, product placement coordination, production outreach, logistical support, guidance and reporting services. Larq Ltd does not guarantee that any product, brand or item will appear in any production, programme, film, broadcast, stream, edit, final cut, trailer, promotional material or other media output, nor does Larq Ltd guarantee the prominence, duration, context, frequency, angle, quality, editorial treatment, release date, broadcast date, platform, audience size or commercial impact of any appearance.
Larq Ltd shall not be liable for any failure by a production company, broadcaster, platform, agency, studio, third-party supplier, courier, freight provider or other third party to use, return, feature, display, credit, broadcast, stream, publish or otherwise handle any product or brand in any particular way.
Subject to the above, Larq Ltd’s total aggregate liability to the relevant client, whether arising in contract, tort, negligence, breach of statutory duty, misrepresentation, restitution or otherwise, shall not exceed the total fees paid by that client to Larq Ltd in the three months immediately preceding the event giving rise to the claim, unless agreed otherwise in writing.
The client agrees that this limitation is reasonable given the nature of Larq Ltd’s services, the editorial independence of productions and broadcasters, and the fact that Larq Ltd does not control final production, editing, broadcast or distribution decisions.
